Welcome to The Social Spa. These Terms of Service (the “Terms”) govern your access to and use of the website, platform, subscription services, templates, captions, stock content, downloads, educational materials, and any other products or services made available by The Social Spa LLC (“The Social Spa,” “we,” “our,” or “us”).

By accessing or using The Social Spa, creating an account, subscribing, downloading content, copying captions, or otherwise using any materials made available through the Platform, you agree to be bound by these Terms, our Privacy Policy, and any additional policies or guidelines we publish from time to time.

If you do not agree to these Terms, you may not access or use the Platform.

1. Important Compliance Notice

The Social Spa provides marketing content, captions, templates, images, videos, graphics, educational prompts, and related materials for general marketing support only.

The Social Spa does not provide legal, medical, regulatory, advertising, FDA, FTC, HIPAA, state board, professional licensing, scope-of-practice, or compliance advice. Nothing on the Platform should be interpreted as legal advice, medical advice, regulatory advice, advertising approval, claim substantiation, or a determination that any content is appropriate or compliant for your business, jurisdiction, profession, treatment, product, patient population, or intended use.

You are solely responsible for reviewing, editing, approving, substantiating, and legally clearing all content before you publish, post, send, print, advertise, or otherwise use it.

You agree that you will not publish or use any Platform Content unless you have independently determined that the content is accurate, truthful, non-misleading, properly substantiated, within your professional scope of practice, consistent with applicable product labeling or treatment requirements, compliant with applicable federal, state, local, professional board, platform, privacy, advertising, and healthcare laws, and approved by your legal, compliance, medical director, supervising provider, or other professional advisors where appropriate.

2. Definitions

For purposes of these Terms:

  • “Platform” means the The Social Spa website, dashboard, account portal, content library, template library, subscription service, downloads, and any related services or materials.
  • “Platform Content” means all content made available through The Social Spa, including captions, hooks, hashtags, scripts, graphics, photos, videos, B-roll, stock content, AI-generated images, Canva templates, social media templates, carousel copy, post ideas, promotional copy, educational content, newsletters, design assets, and downloadable materials.
  • “Stock Content” means photos, videos, graphics, AI-generated images, B-roll, raw content, and other downloadable media assets made available through the Platform.
  • “Marketing Copy” means captions, hooks, headlines, hashtags, carousel text, scripts, promotional copy, educational copy, ad copy, email copy, website copy, and other written content made available through the Platform.
  • “User Content” means content, information, files, images, videos, text, data, logos, brand assets, or other materials you submit, upload, provide, or transmit to the Platform.
  • “You” or “User” means the person or entity accessing or using the Platform.

3. Eligibility

The Platform is intended for users who are at least 18 years old and legally capable of entering into binding agreements. By using the Platform, you represent and warrant that you meet these requirements.

If you use the Platform on behalf of a business, clinic, medical spa, practice, agency, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

4. Account Registration and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete account and billing information and to keep that information updated.

You may not share your login credentials, allow unauthorized users to access your account, or use another person’s account without permission.

We may suspend or terminate accounts that violate these Terms or that we believe may create legal, security, intellectual property, billing, or compliance risk.

5. Subscription, Billing, Cancellation, and Refunds

The Social Spa operates on a recurring subscription model. Your subscription automatically renews unless you cancel before your next billing cycle.

You may cancel your subscription at any time from your Account Dashboard. Cancellation will be effective at the end of your then-current billing period. You will continue to have access until the end of the paid subscription term unless your account is suspended or terminated for violation of these Terms.

It is your responsibility to cancel your subscription before your next billing date. We do not provide refunds for unused subscription time, failure to cancel, lack of use, accidental renewal, or dissatisfaction with digital content.

Due to the digital nature of our content and services, all purchases are final. No refunds will be provided unless required by applicable law or expressly agreed by us in writing.

6. Membership Access and Usage

Each subscription is intended for use by one individual user unless otherwise stated in your plan.

If you purchase a membership for a clinic, practice, or business, the membership may be used only for that clinic’s or business’s own marketing, and only for the number of users, locations, brands, or social media accounts permitted under your plan.

Social media managers, agencies, freelancers, consultants, and contractors must purchase one membership per client unless they have a separate written agreement with us authorizing broader use.

You may not share account access, distribute materials to unauthorized users, or use one subscription to service multiple unrelated businesses, clinics, clients, or brands.

Accounts found in violation of this section may be suspended or terminated without refund.

7. License to Use Platform Content

Subject to your active subscription and continued compliance with these Terms, The Social Spa grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use Platform Content for your own business marketing purposes.

Permitted uses may include, subject to your compliance responsibilities under these Terms:

  • Organic social media posts;
  • Paid advertising;
  • Website graphics and blog content;
  • Email newsletters;
  • Print materials, including flyers, brochures, and signage;
  • Educational or promotional content for your own business;
  • Internal marketing planning and content development.

All permitted uses must be tied to your own business, clinic, practice, brand, or client account that is properly licensed under your subscription.

You receive a license to use Platform Content. You do not receive ownership of Platform Content.

8. Marketing Copy, Captions, and Compliance Review

Marketing Copy provided through the Platform is intended as a starting point for your own review, editing, customization, and approval.

You are solely responsible for determining whether any caption, hook, hashtag, script, claim, educational statement, promotional statement, treatment description, product reference, pricing language, before-and-after language, testimonial language, or call to action is appropriate and compliant for your use.

Before publishing or using any Marketing Copy, you agree to review and, where necessary, edit the content to ensure that it is:

  • Accurate and truthful;
  • Not misleading by statement, implication, omission, image, context, or formatting;
  • Properly substantiated with appropriate evidence;
  • Consistent with applicable professional standards and scope-of-practice requirements;
  • Consistent with applicable treatment, product, device, or drug labeling requirements;
  • Appropriate for your location, license type, provider credentials, and business model;
  • Reviewed and approved by your medical director, supervising provider, legal counsel, compliance advisor, or other appropriate professional where necessary;
  • Compliant with all applicable laws, regulations, licensing rules, advertising rules, privacy rules, and platform policies.

The Social Spa does not guarantee that any Marketing Copy is compliant, complete, accurate, safe, appropriate, or legally permissible for your specific use.

9. Medical, Aesthetic, Healthcare, and Advertising Compliance

You acknowledge that medical aesthetics, med spa services, wellness services, skincare services, injectables, lasers, devices, prescription products, before-and-after images, testimonials, treatment claims, and health-related marketing may be subject to additional legal, regulatory, licensing, professional board, advertising, privacy, and platform requirements.

You are solely responsible for complying with all laws, rules, regulations, guidance, standards, and policies applicable to your business and your use of Platform Content, including, as applicable:

  • Federal, state, and local advertising laws;
  • FTC rules and guidance regarding advertising, endorsements, testimonials, reviews, influencers, material connections, health claims, and substantiation;
  • FDA rules and guidance regarding prescription drugs, medical devices, promotional labeling, risk information, benefit claims, and social media promotion;
  • HIPAA, state privacy laws, patient confidentiality rules, and patient consent requirements;
  • State medical board, nursing board, esthetics board, cosmetology board, pharmacy board, and professional licensing rules;
  • Corporate practice of medicine, supervision, delegation, scope-of-practice, and medical director requirements;
  • Rules regarding before-and-after photos, patient stories, testimonials, endorsements, discounts, pricing, financing, guarantees, contests, giveaways, and promotional offers;
  • Social media platform, ad platform, and payment processor policies;
  • Any other laws, regulations, or industry requirements applicable to your business, jurisdiction, treatments, products, providers, or intended use.

The Social Spa does not monitor, review, approve, or certify your marketing for compliance.

10. High-Risk Content

Certain types of content require heightened review before use. This includes content involving:

  • Before-and-after photos;
  • Patient photos, patient stories, testimonials, reviews, or endorsements;
  • Prescription drugs, neurotoxins, dermal fillers, compounded medications, medical devices, lasers, energy-based devices, weight-loss treatments, hormone treatments, or other regulated products or services;
  • Treatment outcomes, efficacy claims, safety claims, pain claims, downtime claims, longevity claims, or “results may vary” language;
  • Claims comparing treatments, products, brands, providers, or competitors;
  • Pricing, discounts, financing, membership offers, giveaways, contests, or promotions;
  • Provider credentials, licenses, certifications, medical director claims, or supervision claims;
  • Claims that a treatment is “safe,” “risk-free,” “FDA-approved,” “medical-grade,” “clinically proven,” “guaranteed,” “permanent,” “painless,” “natural,” or similar;
  • Content targeted to minors, pregnant people, patients with medical conditions, or other sensitive audiences.

You are solely responsible for obtaining all necessary consents, substantiating all claims, including required disclosures, confirming product and treatment requirements, and obtaining legal, medical, or compliance approval before using high-risk content.

11. Patient Privacy, HIPAA, and Consent

You may not upload, submit, transmit, or disclose protected health information, patient-identifying information, patient images, patient stories, or other sensitive personal information through the Platform unless you have all required permissions, consents, authorizations, and legal authority to do so.

The Social Spa is not your medical provider, legal advisor, compliance advisor, or HIPAA compliance officer. Unless we enter into a separate written Business Associate Agreement with you, you agree not to treat The Social Spa as a business associate and not to submit protected health information to the Platform.

You are solely responsible for obtaining and maintaining valid patient consents, photo releases, testimonial releases, HIPAA authorizations, and any other required approvals before using patient-related content in marketing.

12. No Professional Advice

The Platform may include educational, informational, strategic, or marketing guidance. Such materials are provided for general informational purposes only.

The Social Spa does not provide legal, medical, regulatory, financial, tax, professional, clinical, or compliance advice. You should consult qualified professionals before relying on any information, template, caption, claim, or strategy for your business.

13. No Guarantee of Results

We do not guarantee any particular marketing, business, revenue, follower, engagement, conversion, legal, compliance, or advertising outcome.

Any examples, case studies, templates, captions, or strategies are illustrative only and may not produce the same or any results for you.

14. Prohibited Uses

You may not use the Platform or Platform Content to:

  • Violate any law, regulation, professional rule, platform policy, or third-party right;
  • Publish false, misleading, deceptive, unsubstantiated, unlawful, or non-compliant advertising;
  • Make medical, treatment, health, safety, efficacy, or outcome claims without appropriate substantiation and approvals;
  • Use patient images, patient stories, protected health information, or personal information without required consent and legal authority;
  • Resell, redistribute, sublicense, gift, transfer, or share Platform Content except as expressly permitted by these Terms;
  • Upload Platform Content to stock sites, marketplaces, template libraries, content clubs, competing platforms, or similar services;
  • Use Platform Content to build, train, support, or operate a competing content library, template club, stock library, educational hub, AI system, or subscription service;
  • Package Platform Content into downloadable products, templates, digital assets, prompts, courses, guides, or commercial products for resale or distribution;
  • Claim authorship, ownership, exclusive rights, copyright registration, or trademark rights in Platform Content;
  • Use Platform Content in a way that implies endorsement, partnership, sponsorship, medical approval, legal approval, or compliance approval by The Social Spa;
  • Interfere with the operation, security, or integrity of the Platform;
  • Scrape, crawl, copy, reverse engineer, or systematically download Platform Content except through ordinary use of the Platform under your subscription.

15. Stock Content License and Usage Policy

This section governs your use of Stock Content made available through the Platform.

Subject to your active membership and compliance with these Terms, The Social Spa grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use, edit, modify, and incorporate Stock Content into your own marketing materials.

You may use Stock Content only for your own business, clinic, practice, brand, or properly licensed client account.

You may not:

  • Resell, redistribute, gift, transfer, or sublicense Stock Content;
  • Upload Stock Content to any stock site, marketplace, platform, or template library;
  • Package Stock Content into any downloadable product, digital asset, template, course, or content library;
  • Share Stock Content with unauthorized users, unrelated businesses, or third parties outside your licensed use;
  • Use Stock Content in Canva templates, editable files, or commercial products that others can download, customize, or repurpose;
  • Use Stock Content to build or contribute to any competing service;
  • Claim authorship, exclusive rights, copyright registration, or trademark rights in Stock Content.

All Stock Content remains the exclusive property of The Social Spa or its licensors. All rights not expressly granted are reserved.

16. AI-Generated Content

Some Platform Content may be created, enhanced, edited, or assisted by artificial intelligence tools.

AI-generated or AI-assisted content is subject to the same license restrictions, compliance requirements, disclaimers, and user responsibilities as all other Platform Content.

The Social Spa does not guarantee that AI-generated or AI-assisted content is accurate, original, non-infringing, legally compliant, suitable for your business, or appropriate for any particular use. You are responsible for reviewing and approving AI-generated or AI-assisted content before use.

17. User Content

You retain ownership of User Content you submit to the Platform. By submitting User Content, you grant The Social Spa a non-exclusive, worldwide, royalty-free license to host, store, process, display, reproduce, modify, and use the User Content as necessary to provide the Platform and related services.

You represent and warrant that you have all rights, permissions, consents, and authority necessary to submit and use User Content and that your User Content does not violate any law, regulation, privacy right, publicity right, intellectual property right, contractual obligation, or third-party right.

You are solely responsible for User Content and for any claims, losses, or liabilities arising from User Content.

18. Third-Party Tools and Platforms

The Platform may reference, link to, integrate with, or provide content intended for use on third-party platforms, including social media platforms, advertising platforms, design tools, payment processors, and other services.

We do not control third-party platforms and are not responsible for their rules, policies, availability, decisions, moderation, ad approvals, account restrictions, takedowns, errors, or enforcement actions.

You are responsible for complying with all third-party platform terms, policies, advertising rules, and content guidelines.

19. Intellectual Property

The Platform and all Platform Content are owned by The Social Spa, The Social Spa LLC, or our licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.

Except for the limited license expressly granted in these Terms, no rights are transferred to you.

You may not copy, reproduce, distribute, display, perform, publish, modify, create derivative works from, sell, license, or exploit Platform Content except as expressly allowed by these Terms.

All trademarks, logos, service marks, trade names, designs, and branding associated with The Social Spa are the property of The Social Spa LLC or their respective owners.

20. Feedback

If you provide feedback, suggestions, ideas, requests, or recommendations about the Platform, you grant The Social Spa a perpetual, irrevocable, worldwide, royalty-free right to use that feedback for any purpose without compensation or obligation to you.

21. Content Availability and Changes

We may add, remove, modify, replace, update, restrict, or discontinue any Platform Content or Platform feature at any time without notice.

We do not guarantee that any specific template, caption, asset, category, feature, or content library will remain available.

22. Suspension and Termination

We may suspend or terminate your account, revoke your license, restrict access, remove content, or take other action if we believe you have violated these Terms, misused Platform Content, created legal or compliance risk, failed to pay, shared account access, infringed intellectual property, or used the Platform in a way that may harm The Social Spa, other users, or third parties.

Upon termination of your account or subscription, your right to access the Platform ends immediately. Your license to use Platform Content may also terminate immediately if you violate these Terms.

Upon termination, you must stop using Platform Content in any active ads, websites, promotional materials, or other materials if your license has been revoked due to breach.

Sections that by their nature should survive termination will survive, including ownership, compliance responsibilities, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.

23. Disclaimers

To the fullest extent permitted by law, the Platform and all Platform Content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise.

The Social Spa disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, reliability, legality, compliance, suitability, and freedom from errors.

We do not warrant that:

  • The Platform or Platform Content will meet your needs;
  • The Platform will be uninterrupted, secure, timely, or error-free;
  • Platform Content will be accurate, complete, current, original, non-infringing, or compliant;
  • Any caption, template, claim, image, video, script, hashtag, or other material is legally permissible for your use;
  • Any content will comply with FDA, FTC, HIPAA, state board, professional licensing, advertising, healthcare, platform, or other legal requirements;
  • Any defects or errors will be corrected;
  • Use of the Platform will produce any particular business, marketing, legal, compliance, or financial result.

You use the Platform and Platform Content at your own risk.

24. Limitation of Liability

To the fullest extent permitted by law, The Social Spa, The Social Spa LLC, and their owners, officers, directors, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, enhanced, reputational, regulatory, enforcement, lost profit, lost revenue, lost data, business interruption, advertising account, professional discipline, patient claim, privacy, or compliance-related damages arising out of or relating to your access to or use of the Platform or Platform Content.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Platform, Platform Content, or these Terms will not exceed the greater of: (a) the amount you paid to The Social Spa in the three months before the event giving rise to the claim; or (b) $100.

The limitations in this section apply regardless of the theory of liability, whether based in contract, tort, negligence, strict liability, warranty, statute, or otherwise, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

25. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless The Social Spa, The Social Spa LLC, and their owners, officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against any and all claims, demands, actions, investigations, damages, obligations, losses, liabilities, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • Your access to or use of the Platform;
  • Your use, publication, posting, modification, distribution, or approval of Platform Content;
  • Your use of any Marketing Copy, caption, template, image, video, script, hashtag, or other material;
  • Any claim that your marketing, advertising, social media, website, email, print material, or other use of Platform Content is false, misleading, deceptive, unsubstantiated, unlawful, non-compliant, or otherwise improper;
  • Any FDA, FTC, HIPAA, state board, professional licensing, advertising, platform, privacy, consumer protection, or regulatory issue arising from your use of Platform Content;
  • Your violation of these Terms;
  • Your violation of any law, regulation, rule, platform policy, or third-party right;
  • Your User Content;
  • Your failure to obtain required patient consents, authorizations, releases, disclosures, approvals, or substantiation;
  • Your business practices, professional services, treatments, products, claims, pricing, promotions, or patient interactions;
  • Your negligence, willful misconduct, or fraud.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense. You may not settle any claim in a way that imposes liability or obligations on The Social Spa without our prior written consent.

This indemnification obligation survives termination of your account and use of the Platform.

26. Dispute Resolution and Arbitration

Before initiating a formal dispute, you agree to contact us at info@thesocialspa.io and attempt to resolve the matter informally.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, Platform Content, or any services provided by The Social Spa LLC will be resolved through final and binding arbitration rather than in court, except that either party may bring claims in small claims court if the claims qualify.

The arbitration will take place in Jefferson County, Colorado, unless otherwise required by applicable law, and will be conducted under the rules of the American Arbitration Association then in effect.

You and The Social Spa agree to resolve disputes only on an individual basis. You waive any right to participate in a class action, class arbitration, collective action, representative action, or consolidated proceeding.

You and The Social Spa waive the right to a jury trial.

27. Governing Law and Venue

These Terms and any dispute arising out of or relating to them are governed by the laws of the State of Colorado, without regard to conflict of law principles.

Subject to the arbitration provision above, any legal action or proceeding relating to your access to or use of the Platform must be brought in the state or federal courts located in Jefferson County, Colorado, and you consent to the exclusive jurisdiction and venue of those courts.

28. Changes to These Terms

We may update these Terms from time to time. When we update the Terms, we will revise the “Last Updated” date above.

Your continued use of the Platform after updated Terms are posted means you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using the Platform and cancel your subscription.

30. Acknowledgment

By accessing or using The Social Spa, you acknowledge that you have read, understood, and agreed to these Terms. You further acknowledge that you are solely responsible for reviewing and approving all Platform Content before use and for ensuring that your marketing, advertising, professional services, and business practices comply with all applicable legal, regulatory, professional, privacy, advertising, and platform requirements.
